Inhaltsangabe:Einleitung: Seit einigen Jahrzehnten wird kontinuierlich zur Synergiethematik bei „Mergers & Acquisitions“ (Fusionen & Übernahmen) geforscht. Dabei wird der Begriff Synergie häufig als Hauptargument und Rechtfertigung für Unternehmenszusammenschlüsse verwendet. Auch in der Logistikbranche wächst das Streben nach positiven Verbundwirkungen stetig. Aufgrund wachsender Transportdistanzen und neuen Wettbewerbern im Rahmen der Globalisierung (Dislozierung), steigenden zeitlichen Anforderungen an den Lieferungsprozess (Supply Chain Management / Just-in-Time), sowie durch neue gesetzliche Umweltvorschriften und Regulierungen (z. B. Recycling / Umweltbelastung durch Straßenverkehr) gerät die Branche zunehmend unter Druck. m diesem zusätzlich wachsenden Kostendruck entgegenzuwirken, schließen sich Logistikunternehmen verstärkt zusammen und erhoffen sich dadurch effiziente Kooperationsvorteile im Sinne von positiven Synergieeffekten. Der Kauf des britischen Logistikdienstleisters Exel durch die Deutsche Post, die Übernahme des Kontraktlogistikers ACR Logistics (früher Hays Logistics) durch Kühne + Nagel oder die Fusion der Reederei CP Ships mit Hapag-Lloyd im letzten Jahr sind jüngste Beispiele für die erhöhte M&A-Aktivität und stellen die Notwendigkeit dieses anhaltenden Konsolidierungsprozesses unter Beweis. Allerdings sind Übernahmen und die damit verbundenen Synergiepotenziale besonders in der Transport- und Logistikbranche im Vorfeld schwer zu kalkulieren. Bei Logistikern herrschen komplexe Unternehmensstrukturen und der Unternehmenswert ist meist nicht maßgeblich im Anlagevermögen gebunden, sondern zeichnet sich vielmehr durch das Fachwissen der Mitarbeiter, den Spezialisierungsgrad im jeweiligen Logistiksektor sowie durch vertragliche oder mündliche Kundenbeziehungen aus. Darüber hinaus fehlen bei vielen mittelständischen und kleinen Logistikunternehmen oftmals ausreichende Controllinginstrumente, um eine vollständige Datenbasis für eine realitätsnahe Synergiebewertung bereitzustellen. Zudem wird der Bewertungsprozess nicht nur durch politische und steuerliche Hürden, sondern auch durch kulturelle Barrieren beeinträchtigt. Logistikunternehmen, die überwiegend länderübergreifende bzw. internationale Tätigkeiten ausführen, sind oftmals durch Beteiligungen oder Joint Ventures mit Tochtergesellschaften in den unterschiedlichsten Ländern verbunden.
