This dissertation characterizes the legality and incidence of short selling in a worldwide, multimarket framework. Home country short selling restrictions curtail home market stock borrowing by 45% and reduce short selling of the country's ADRs by 68% due to regulatory reach. Also, the 2008 U.S. ban on short selling of financial firms reduced borrowing in foreign locations. These findings are robust to controls for option availability, enforcement, returns, firm-size, trading volume, dividends, ADR level, volatillity, days-to-cover, and industry sector. Further, investor conduct resulting from adherence to professional standards is a more powerful mechanism of regulatory reach than inter-goverment cooperation. .

The recent global financial crisis has given rise to many regulatory changes in the field of financial law. Regulators worldwide have come up with stricter and more extensive rules, for instance with regard to banking law, the law dealing with credit rating agencies, and insolvency law. Ever since the start of this regulatory reform, there has been a lot of debate as to whether the new rules will indeed protect the financial markets against new crises, and whether the rules are economically justifiable. A field of law in which this debate has continued is the law with regard to short selling. The discussion on how best to regulate short selling symbolizes the broader debate on the regulation of financial markets, since short selling laws are a mix of both strong moral and strong economic views, as is the case with other financial laws, although in a less intense way.0This book aims to contribute to that discussion. In order to provide valuable input to address the question on how best to regulate short selling, the new European regulatory framework, which is reflected in the European Short Selling Regulation, is compared with the revised short selling laws that apply in Australia. As Australia is especially a jurisdiction that was hit less hard by the global financial crisis, its short selling laws provide for an interesting legal comparison.0Consequently, the book reflects the results of a comparison of the revised laws on short selling in both the European Union and Australia. Mid-September 2008 saw governments around the world initiating emergency regulatory action to ban short selling. Short selling is a practice that has existed for many years and is regarded as a valuable activity to aid price discovery by the market. If regulatory action by securities regulators is aimed at promoting an efficient and informed market, actions to ban or restrict short selling may prove to be out-of-step with the objectives and principles of securities regulation. This paper examines the initial regulatory responses with respect to short selling from the perspective of three jurisdictions namely UK, Australia and the USA. The paper demonstrates that the regulatory responses differed due to the different 'standing starts' from which each regulator began the race to respond to the volatility in securities markets. It also illustrates that the different standing starts reflect the different problems with short selling in the particular jurisdiction. Thirdly, it shows how delegated rule making powers were used by each regulator to make rules that included rules with criminal sanctions attached. Finally it highlights the potential difficulties that global initiatives seeking a common approach to short selling regulation face. Such potential difficulties arise to threshold issues such as the nature of the relationship between the seller and the securities that make a sale of that security a short sale. The paper offers a definition of short selling that takes into account the various ways in which the share/stock may be sourced for settlement. By examining the regulatory objectives of each of three regulators, the FSA, ASIC and the SEC, it examines how an outright ban on certain short-selling combined with a disclosure regime for other short-selling fits in with the policy and objectives of securities market regulation articulated by the International Organisation of Securities Regulators.
