The CEO’s Boss, originally published in 2010, is the definitive guide to a productive working relationship between corporate boards and CEOs. Speaking to an era when company directors must monitor the actions and day-to-day operations of their CEO, William M. Klepper offers eight essential lessons to help boards operate more effectively in this bold and independent role. Since the publication of the first edition, Klepper has continued to develop and apply its lessons for a variety of businesses and settings. In this second edition, Klepper renews the paradigm set forth in the first, with new case studies of companies such as Wells Fargo, BP, Hewlett-Packard, and Proctor & Gamble. Giving directors, executives, investors, and stakeholders the tools to make crucial relationships work, Klepper details the best techniques for selecting the right CEO, establishing a working relationship, and giving effective feedback. He affirms the importance of the social contract between directors and their CEOs, encourages directors to embrace their independence, and teaches executives to value tough love. He revisits the first edition’s case studies and derives new insights from how these companies followed—or failed to heed—the book’s precepts. He also takes a close look at the predictions he made almost ten years ago, providing new forecasts and integrating core knowledge to ensure that The CEO’s Boss remains essential in our ever-changing business landscape.

No Seat At The Table written by Douglas M. Branson and has been published by NYU Press this book supported file pdf, txt, epub, kindle and other format this book has been release on 2007 with Business & Economics categories.

Women are completing MBA and Law degrees in record high numbers, but their struggle to attain director positions in corporate America continues. Although explanations for this disconnect abound, neither career counselors nor scholars have paid enough attention to the role that corporate governance plays in maintaining the gender gap in America's executive quarters. Mining corporate governance models applied at Fortune 500 companies, hundreds of Title VII discrimination cases, and proxy statements, Douglas M. Branson suggests that women have been ill-advised by experts, who tend to teach females how to act like their male, executive counterparts. Instead, women who aspire to the boardroom should focus on the decision-making processes nominating committees—usually dominated by white men—employ when voting on membership. Filled with real-life cases, No Seat at the Table opens the closed doors of the boardroom and reveals the dynamics of the corporate governance process and the double standards that often characterize it. Based on empirical evidence, Branson concludes that women have to follow different paths than men in order to gain CEO status, and as such, encourages women to make flexible, conscious, and often frequent shifts in their professional behaviors and work ethics as they climb the corporate ladder.

Danger In The Comfort Zone written by Judith M. BARDWICK and has been published by AMACOM this book supported file pdf, txt, epub, kindle and other format this book has been release on 1995-05-03 with Business & Economics categories.

Danger in the Comfort Zone examines the phenomenon of the "entitlement" mentality in the American workforce -- people's preoccupation with their rewards rather than their responsibilities. Bardwick describes three basic mindsets and shows the effect of each on individuals and their organizations: * Entitlement -- people feel entitled to rewards and lethargic about having to earn them; motivation and job satisfaction are low * Fear -- people are paralyzed; the threat of layoffs makes them focus on protecting their jobs rather than doing them well * Earning -- people are energized by challenge; they know their accomplishments will be noticed -- and rewarded In this paperback edition, Bardwick points out that although the "fear" element has undoubtedly grown in the last few years, the entitlement attitude is still firmly entrenched at all levels. She offers additional chapters with new, specific techniques for pulling people out of the quagmire of fear and complacency, and igniting them with the energy of true earning.

A powerful story touched with family trauma, deprivation, and adversity balanced by a life of hard work and philanthropy! On the Road Less Traveled is the inspirational story of Edmund A. Hajim, an American financier and philanthropist who rises from dire childhood circumstances to achieve professional success and personal fulfillment. At age three, Hajim is kidnapped by his father, driven from St. Louis to Los Angeles, and told that his mother is dead. His father soon abandons him in order to seek employment—mostly in vain—leaving his son behind in a string of foster homes and orphanages. This establishes a pattern of neglect and desertion that continues for Hajim’s entire childhood, forever leaving its mark. From one home to another, the lonely boy learns the value of self-reliance and perseverance despite his financial deprivation and the trauma of being an orphan. As time passes, Hajim displays a powerful instinct for survival and a burning drive to excel. A highly motivated student and athlete, he earns an NROTC college scholarship to the University of Rochester; serves in the United States Navy; works as an application research engineer; then attends Harvard Business School, where he finds that the financial industry is his true calling. So begins his rapid ascent in the corporate world, which includes senior executive positions at E. F. Hutton, Lehman Brothers, and fourteen years as CEO of Furman Selz, growing the company more than tenfold. He also creates a happy and abundant family life, though he never forgets what it means to struggle. At age sixty, he is reminded of his painful past when a family secret emerges that brings the story full circle.

A Global CEO study by Accenture and the UN Global Compact has shown that 94% of CEOs think that their board should discuss sustainability. And yet there is a real danger that boards are not living up to expectations on sustainability, paying lip-service to the concept rather than fully embedding social and environmental issues into their strategies and operations. Talking Sustainability in the Boardroom sets out why this is the case, identifies the obstacles, and then explains the opportunities for the long-term performance of the organisation that can arise through focusing on social and environmental issues. Written by two leading specialists in sustainability who have significant experience of working directly with boards, this book presents a very practical framework for embedding sustainability into board conversations and strategies. Steps include identifying and prioritising the social and environmental issues that are most pertinent to the organisation and will have the biggest impact on business, presenting the competences and skills to enable this, guidance on how to structure board meetings to ensure that these conversations truly take place, and the development of action plans and tools for measurement.

To say that boards and directors operate in a challenging environment understates the complexity and pressures of board service. As directors continue to grapple with ever expanding agendas and complex issues in the boardroom, the Director's Handbook provides a valuable practical resource that identifies 101 topics commonly encountered by public company directors. The first portion of each chapter sets forth a general discussion intended to provide basic context. The second section of each chapter suggests a list of questions or issues that a director might consider in connection with the topic at hand, including information to be sought from the company's management or advisors to inform the board's deliberations. The final portion of each chapter identifies additional resources to which the director might turn for a more in-depth analysis of the particular topic. This valuable resource focuses on equipping individual directors to function at a higher level by arming them with general background on a topic and then questions to enable the director to gather the information required to reach an informed decision. Designed as an excellent training tool for both new directors and younger lawyers entering the governance field, the Director's Handbook discusses:Duties, roles, and structure of the boardGovernance policiesProtecting the boardOversight of management including selecting a CEO, governing the multinational corporation, and dealing with the general counselThe corporate director's role in ethics and compliance programsTakeover preparednessThe board's duties in an insolvent companyAnd much more! This collaborative work has been written by a group of highly skilled and knowledgeable boardroom counselors who share their knowledge and expertise, and is endorsed by some of the luminaries in the field of governance.
