The concept of tax compliance is as old as the tax itself, but staying compliant with tax regulations has become increasingly demanding. A changing tax regulatory environment, resulting from regulatory actions of the OECD, the European Union and national governments, poses many problems for tax compliance awareness. This book explores various approaches to improving tax compliance. Starting with the procedures and processes that are at the centre of the debate, it includes the level of tax position security obtained as a result of cooperation between tax administration and an organisation, ending with tax compliance requirements imposed by one-sided action of tax administration. Compliance-Management, ein Management der Regelkonformität, umfasst die Summe der organisatorischen Prozesse und Maßnahmen sowie Strategien eines Unternehmens, die systematisch ergriffen werden, um mögliche (Haftungs-) Risiken und Schäden für das Unternehmen infolge nicht-ordnungsgemäßen Verhaltens der Unternehmung sowie der Mitarbeiter entsprechend der externen Gesetze, unternehmensspezifischen Richtlinien sowie allgemein gültigen Wertvorstellungen in Gesellschaft und Politik zu minimieren. Ist Compliance irrelevant für mittelständische Unternehmen? Nicht nur für Großunternehmen, sondern auch für den Mittelstand gewinnt Compliance zunehmend an Bedeutung. Zum einen ist dies zurückzuführen auf das vermehrt internationale Agieren der Unternehmen, zum anderen auf die laufend neu eingeführten und sich verändernden externen Regelwerke und die damit steigende zivil- und strafrechtliche Haftung. Außerdem verlangen die zunehmend komplexer werdenden Geschäftsprozesse und die Vielfalt der eingesetzten Kommunikationstechnologien nach entsprechenden Regelungen. Ein weiterer Grund für den gestiegenen Stellenwert der Compliance ist die in den letzten Jahren in der Gesellschaft bewusster wahrgenommene Wirtschaftskriminalität. Daraus resultiert, dass auch von den mittelständischen Unternehmen ein sowohl rechtlich als auch moralisch einwandfreies Verhalten gefordert wird. Allerdings stellt Compliance für den Mittelstand - aufgrund der begrenzt zur Verfügung stehenden Ressourcen wie Kapital, Know How und Mitarbeiter - eine komplexe Herausforderung dar. Wie kann der Mittelstand Compliance umsetzen und organisieren? Zur Beantwortung der Frage wurde eine Online-Befragung über eine Stichprobe ausgewählter mittelständischer Unternehmen aus dem Land Schleswig-Holstein erhoben. Unter Bezugnahme auf den ressourcenorientierten Ansatz des strategischen Managements wird gezeigt, welche Ressourcen den mittelständischen Unternehmen der Befragung zur Verfügung stehen, um Compliance-Management nicht nur gewährleisten, sondern aktiv gestalten und organisieren sowie in die alltäglichen Geschäftsprozesse integrieren zu können. Als Bewertungsmaßstab für das Potenzial der Compliance wird das VRIO-Rahmenkonzept herangezogen. Dieses Konzept verbindet die Annahmen des ressourcenorientierten Ansatzes der Ressourcenheterogenität und -immobilität und die Gedanken Barneys. Dieser vertritt die These, dass Ressourcen, die durch Werthaltigkeit (Value), Seltenheit (Rareness), schwere Imitierbarkeit (Imitability) und Organisation (Organization) gekennzeichnet sind, eine Grundlage zur Schaffung von Wettbewerbsvorteilen bilden. Zusammenfassend lässt sich aus den Ergebnissen der Studie schließen, dass auch kleine und mittlere Unternehmen an ihre Geschäftsstruktur angepasste Compliance-Maßnahmen in Angriff nehmen sollten. Die daraus resultierenden Vorteile der frühzeitigen Risikoidentifizierung und -prävention rechtfertigen den Aufwand. Zudem ist die Implementierung eines Compliance-Managements eine lohnende Investition, um Handlungs- und Zukunftsfähigkeit der mittelständischen Unternehmen zu sichern.

Business and employee management are key subjects in business administration. For decades, actually for centuries, there has been a discussion about how effective leadership of people or employees can be realized. It has always been a major concern within market-based economic systems to learn how its products and services should be designed in order to generate consumer demand. That the discussion about business and employee management is more relevant than ever is linked to the fact that leadership situations are influenced by a variety of external factors. They include, in particular, political, cultural, social, demographic, economic, and technological developments. It is therefore required for business and employee management to be adapted to those external framework conditions on a permanent basis. In former times, the assumption in mainstream leadership research was that leadership success relied on specific personal characteristics. Later on, the prevailing view was that the decisive factors in employee management lied in specific leadership behavior or leadership styles. Today's research on leadership is dominated by situation-oriented approaches, providing for specific leadership concepts for specific organizational and employee-related structures. The present thesis is an attempt to bundle a variety of approaches to leadership with the aim of providing an overarching framework for concepts of a similar nature. Therefore, the leadership concept to be developed in what follows is to be characterized by the principles of holism and sustainability. The first step is to present the fundamentals of leadership and management in order to introduce key terms and concepts and provide an overview of the research on leadership. Chapter 3 deals with separately displaying the business and employee management approaches of various management pioneers, distinguishing between early and con-temporary pioneers. Each approach is presented in consideration of its key elements, its strengths and opportunities, as well as its weaknesses and limitations. The fourth chapter, finally, is devoted to developing a holistic and sustainable leader-ship concept.

Zahlreiche Unternehmensskandale, Haftungsfälle bei Vorständen und Aufsichtsräten von namenhaften Unternehmen wie die Schmiergeldaffäre von der Siemens AG, oder die tatverdachtslose Überprüfung von Mitarbeitern der Deutschen Bahn, die einen hohen Bußgeldbescheid zufolge hatte, verdeutlichen die Notwendigkeit eines einheitlichen Compliance-Managements im Unternehmen. Zudem legen Regeln, Gesetze und interne Standards, der Wunsch nach mehr Transparenz aber auch die steigenden Ansprüche der Stakeholder die Messlatte für gute Unternehmensführung immer höher. Um diesen Anforderungen gerecht zu werden, muss die Unternehmensführung die Compliance organisatorisch wirksam in das Unternehmen einbinden. Die vorliegende Arbeit untersucht die Organisation von Compliance im Unternehmen. Zu Beginn der Arbeit werden einige wichtige Grundlagen wie die Begriffsdefinition, der Ursprung und die rechtlichen Aspekte der Compliance aufgeführt. Um die Bedeutung der Compliance für die Unternehmen zu veranschaulichen, werden in den darauffolgenden Kapiteln zunächst die wichtigsten Ziele und Funktionen der Compliance kurz beschrieben, bevor die organisatorische Einbindung der Compliance in Kapitel fünf untersucht wird. Im Rahmen dieser Untersuchung werden in erster Linie die wichtigsten Elemente der organisatorischen Einbettung der Compliance in das Unternehmen vorgestellt, welche ausschlaggebend für die erfolgreiche Umsetzung der Compliance-Organisation sind.
