Eine einleitende Darstellung der begrifflichen und funktionalen Unterschiede der einzelnen Varianten sowie der Entstehungsgeschichte und Entwicklung bis zum heutigen Markt, vermitteln dem Leser ein grundlegendes Verständnis zur Finanzinnovation. Im Anschluss wird verdeutlicht welcher Handlungsspielraum sich für die Akteure aus dem differenzierten Rechtskontext im Ursprungsland, den Vereinigten Staaten von Amerika, und Deutschland ergibt. Anhand der gewonnen Informationen wird die jeweilige Motivlage von Unternehmen, Investoren und Plattformbetreibern unter Chancen- und Risikoaspekten erläutert. Eine klare Abgrenzung des Begriffs Crowdinvesting wird u.a. durch vielfach synonym genutzte anglo-amerikanische Begrifflichkeiten, wie Equity Crowdfunding oder Peer-2-Peer Lending erschwert. Um die unterschiedlichen Begrifflichkeiten von Schwarmfinanzierung besser einzuordnen, werden neben den terminologischen Facetten auch funktionale Implikationen der Wortbedeutungen veranschaulicht. Im Rahmen des sog. Crowdsourcing werden Funktionen und Aufgaben eines Unternehmens von einer Vielzahl an Freiwilligen („Crowd“) übernommen („Outsourcing“). Diese partizipieren aus unterschiedlichen Motiven heraus, zumeist per Internet, an Forschungs- und Problemlösungsaufgaben. Das Konzept beruht auf der Idee der „Weisheit der Menge“. Eine Gruppe von Individuen hat unter bestimmten Voraussetzungen demzufolge bessere Möglichkeiten, optimierte Gesamtergebnisse zu erreichen als einzelne Personen bzw. einzelne Unternehmen.

Der Investor kann in Start-ups, ökologische Projekte und Immobilien investieren. Hierbei wird unter dem rechtlichen Mantel eines partiarischen Nachrangdarlehen eine Beteiligung erzeugt. Die vorliegende Arbeit setzt einen Schwerpunkt auf die Crowdinvesting in junge innovative Unternehmen (sogenannte Start-ups). Sie bietet dem Investor einzigartige Möglichkeiten der frühen Partizipation an Unternehmensentwicklungen. Diese Partizipation ist allerdings nicht risikofrei. Grundlegende Fragestellung der vorliegenden Arbeit ist, welche Chancen und welche Risiken das Crowdinvesting aus Sicht eines Investors bietet. Um die Frage beantworten zu können, werden Chancen und Risiken in zwei Einflussfaktoren unterteilt. Der erste Einflussfaktor ist das Start-up selbst. Die Handlungen des Start-ups wirken sich direkt auf das Chancen-Risiken-Profil aus. Allerdings unterscheiden sich die Handlungen der Start-ups stark, sodass eine einheitliche Bewertung nicht möglich ist. Der zweite Einflussfaktor ist die vertragliche Gestaltung. Diese wird eher einheitlich geregelt und kann deswegen besser zur Bewertung von Chancen und Risiken verwendet werden. Die vertragliche Gestaltung ist deswegen eher einheitlich, weil der Crowdinvestingmarkt in Deutschland von der Plattform Companisto und Seedmatch dominiert wird. Eine annähernd einheitliche Bewertung von Chancen und Risiken ist deswegen auf Grundlage der Crowdinvestingverträge möglich. Das Ergebnis der vorliegenden Arbeit ist, dass Crowdinvesting eine Risikokapitalanlage darstellt wo sehr hohe Renditechancen einem hohen Risiko gegenüberstehen. Der Investor hat drei Möglichkeiten Erträge aus dem Crowdinvesting zu generieren. Diese sind die Möglichkeit der Gewinnbeteiligung, der Beteiligung am Unternehmenswert und eine jährliche feste Verzinsung. Bei der Anlage ergeben sich im Gegenzug diverse Risiken. Das größte Risiko stellt dabei den Verlust des eingesetzten Kapitals dar. Anzumerken ist, dass die Ausfallraten weit unter denen von vergleichbaren Investments liegen. Aufgrund des noch sehr jungen Marktes ist eine Ermittlung des Chance-Risiko-Profils noch nicht abschließend möglich.

Hierbei sind zuerst die Chancen der Initiatoren/Start-ups und den Geldgebern/Investoren vorgestellt worden, danach die Risiken. Dabei soll ein Überblick geschaffen werden, welche Vorteile und Nachteile das Crowdfunding mit sich bringt. Im vierten Kapitel wird das Crowdinvesting, welches im zweiten Kapitel kurz angesprochen wird, näher erläutert. Daraufhin folgt wie beim Crowdfunding eine Aufteilung zwischen den Chancen und Risiken für die Initiatoren/Start-ups und Geldgebern/Investoren. Im abschließenden fünften Kapitel erfolgt eine Schlussfolgerung über das Crowdinvesting und das Crowdfunding. Es wird eine Zusammenfassung über die wichtigsten Erkenntnisse erfolgen, die im dritten und vierten Kapitel herausgearbeitet wurden. Das Fazit wird eine Handlungsempfehlung enthalten, welches das Crowdinvesting und Crowdfunding kritisch reflektiert.

Durch das Crowdfunding ist es für Privatanleger möglich geworden, auch mit wenig Kapital am Erfolg eines Unternehmens partizipieren zu können. Für die Unternehmen hat sich damit eine neue Form der Finanzierung eröffnet, die das Potenzial hat, sich als Finanzierungsalternative zu etablieren. Fälle wie der S&K-Finanzskandal oder die Prokon-Insolvenz sorgten bundesweit für Aufsehen und riefen Verbraucherschützer auf den Plan. Der Gesetzgeber folgte dem dezidierten Aufruf nach Regulierung des sog. Grauen Kapitalmarktes. Mit dem geplanten Kleinanlegerschutzgesetz will man Verbraucher künftig besser vor undurchsichtigen und damit riskanten Investitionen schützen, die, im schlechtesten Fall, bis hin zum Totalverlust des investierten Kapitals führen können. Doch auch für die Unternehmen ergeben sich nicht nur Chancen, die über die reine Erhöhung des zur Verfügung stehenden Kapitals hinausreichen. Jedes Crowdfunding ist für die Beteiligten auch mit Risiken verbunden. In der Literatur herrscht nahezu ausnahmslos die anlegerorientierte Sichtweise vor, deren Schutz bisher meist im Mittelpunkt der Betrachtung stand. Eine Analyse der Chancen und Risiken, die sich für die kapitalsuchenden Unternehmen aus einem Crowdfunding ergeben können, fehlt bisher. Der Autor wird mit der vorliegenden Arbeit in einem ersten Ansatz versuchen, diese Lücke zu schließen.

This open access book describes methods for research on and research through design. It posits that ethnography is an appropriate method for design research because it constantly orients itself, like design projects, towards social realities. In research processes, designers acquire project-specific knowledge, which happens mostly intuitively in practice. When this knowledge becomes the subject of reflection and explication, it strengthens the discipline of design and makes it more open to interdisciplinary dialogue. Through the use of the ethnographic method in design, this book shows how design researchers can question the certainties of the everyday world, deconstruct reality into singular aesthetic and semantic phenomena, and reconfigure them into new contexts of signification. It shows that design ethnography is a process in which the epistemic and creative elements flow into one another in iterative loops. The goal of design ethnography is not to colonize the discipline of design with a positivist and objectivist scientific ethos, but rather to reinforce and reflect upon the explorative and searching methods that are inherent to it.
