Der international zwingende Charakter von Normen des deutschen Arbeitsrechts ist mangels einer klaren gesetzlichen Regelung häufig zweifelhaft. Diese Unsicherheit wird dadurch verstärkt, dass die Kriterien, nach denen der international zwingende Charakter einer Norm festgestellt werden kann, nicht einheitlich gesehen werden. Carsten MÃ1⁄4ller arbeitet diejenigen Aspekte heraus, die fÃ1⁄4r den Bereich des Arbeitsrechts zu beachten sind. Er berÃ1⁄4cksichtigt sowohl das durch das EVÿ vorgeprägte nationale internationale Privatrecht als auch das europäische Gemeinschaftsrecht. Letzteres wirkt dabei in entgegengesetzte Richtungen durch den Dualismus aus Grundfreiheiten, die das nationale Recht einschränken, und Richtlinienbestimmungen, die detaillierte Vorgaben fÃ1⁄4r das nationale Recht enthalten. Diese Kriterien wendet er anschlieÃYend systematisch auf die einzelnen Normen des deutschen Arbeitsrechts an. Die Darstellung der einzelnen Normen des deutschen Arbeitsrechts ist wegen der jeweils konkreten Aussagen zu den einzelnen Vorschriften auch in der Praxis von Bedeutung.

Hans Hanau befaßt sich mit dem wesentlichen Aspekt einer Angemessenheitskontrolle im Privatvertragsrecht: dem Grundsatz der Verhältnismäßigkeit. Auf Basis eines verfassungsrechtlichen Ansatzes zeigt er, daß die zunächst für das öffentliche Recht entwickelte grundrechtliche Schutzdogmatik - mit dem Verhältnismäßigkeitsprinzip als zentralem Element - im Grundsatz gleichermaßen gegenüber der staatlichen Sanktionierung privatheteronomer Gestaltungen gilt. Art und Umfang der Kontrolle unterscheiden sich allein durch Art und Umfang des Beitrags, den der Betroffene selbst zur Erzeugung der Rechtswirkung geleistet hat, der er nunmehr ausgesetzt ist. Als Element der iustitia commutativa erlaubt das Verhältnismäßigkeitsprinzip zum einen die Grenzen der Selbstbindung des Betroffenen festzustellen. Als Element der iustitia protectiva gewährleistet es zum anderen die Bestimmung der Schranken eingreifender privater Gestaltungsmacht.

Globalization and market integration have shaped the economic climate in such a way as to give rise to a considerable increase in cross-border mergers, acquisitions and corporate restructurings. However, the primary European Union (EU) legislation in this area – the Acquired Rights Directive – brings about only partial and minimum harmonization, giving rise to differences in the employee protective regime across the EU Member States. This book, the rst full analysis of the EU-level private international law implications of the subject, masterfully addresses the plethora of questions that arise and presents well-considered and soundly based recommendations towards the introduction of a new and uniform con ict of laws path for transfers of undertakings throughout the EU. With a methodology that combines comparative, ‘black letter’, legal historical and empirical approaches, the author addresses such issues and topics as the following: – determination of applicable law both upon and after a transfer; – jurisdictional issues; – the main provisions of the Acquired Rights Directive and their content; – the main differences existing among the relevant laws of the Member States; – special characteristics of the maritime sector and seagoing workers; and – cross-border implications of Brexit. Mit der Kodifikation des Art. 14 Rom II-VO hat der europäische Gesetzgeber die Voraussetzungen für die Ausübung der Parteiautonomie im Bereich der außervertraglichen Schuldverhältnisse europarechtlich harmonisiert. Mit ihr sollen die Grundlagen geschaffen werden, um die Prozessführung im In- und Ausland bei grenzüberschreitenden Streitigkeiten zu vereinfachen. Die Parteien können danach grundsätzlich das Sachrecht frei wählen, welches über ein bestehendes oder künftiges außervertragliches Schuldverhältnis entscheiden soll. Art. 14 Rom II-VO erhält damit neue Bedeutung für die Rechtspraxis. Andreas Vogeler untersucht, unter welchen Voraussetzungen eine Rechtswahlvereinbarung geschlossen werden kann und zeigt weiteren gesetzgeberischen Handlungsbedarf auf.
