English summary: For almost 150 years, states have gradually been harmonizing their law on a regional and on a global level. International approximation and unification of law facilitate cross-border trade and remove legal obstacles in the field of International Family Law. Experience however has proven that international uniform law is not always interpreted in a uniform way. Karin Linhart studies existing mechanisms that are to ensure uniform interpretation. In addition, she examines the pitfalls for diverse interpretation. These pitfalls can be found on an international level during the creation of international uniform law, as well as during the procedure of implementation by national parliaments where implementation is required, and lastly in the course of applying the uniform rules to a given dispute by a national court or other national authority. German description: Seit fast 150 Jahren harmonisieren die Staaten auf regionaler und globaler Ebene schrittweise ihr Recht. Das Ergebnis sind angeglichene oder sogar vereinheitlichte Regelungen, die den grenzuberschreitenden Handel und die Klarung von Rechtsverhaltnissen des Privatlebens, etwa im Bereich des Internationalen Familienrechts, erleichtern. Die Erfahrung aber zeigt, dass die einheitsrechtlichen Regelungen in der Rechtspraxis haufig keine einheitliche Auslegung erfahren. Karin Linhart untersucht daher die Mechanismen, die gegenwartig bestehen, um die einheitliche Auslegung einheitsrechtlicher Regelungen zu sichern bzw. uneinheitliche Auslegung zu korrigieren. Daruber hinaus untersucht sie die Ursachen uneinheitlicher Auslegung auf internationaler Ebene bei Schaffung Internationalen Einheitsrechts, auf nationaler Gesetzgebungsebene bei der teilweise erforderlichen Umsetzung und auf der Ebene der Rechtsanwendung und bietet auf dieser Grundlage konkrete Losungsmoglichkeiten, um dem Ziel der einheitlichen Auslegung Schritt fur Schritt naher zu kommen.

English summary: The significance of the assignment of receivables in international trade is increasing constantly in regard to factoring, forfaiting, securitization or assignment for security purposes. The United Nations Convention on Assignment, as well as the UNIDROIT Convention on Factoring provide internationally uniform regulations for cross-border assignment of receivables whose purpose is to make international assignments easier and to support them. Claudia Rudolf analyzes both of these and examines them from the standpoint of comparative law. German description: Abtretungen von Geldforderungen stellen eine bedeutende Finanzierungsgrundlage fur Unternehmen dar. Neue Formen der Unternehmensfinanzierung (z.B. Factoring, Forfaiting, Securitisation-Transaktionen oder Sicherungszessionen zur Kreditsicherung) beruhen jedoch in steigendem Ausmass auf Forderungsabtretungen mit Auslandsbezug, sei es auf internationalen Abtretungen oder auf nationalen Abtretungen internationaler Forderungen. Die mit internationalen Forderungsabtretungen verbundenen Risiken hinsichtlich des anwendbaren Rechts oder unterschiedlicher Voraussetzungen einer wirksamen Forderungsabtretung verteuern oder vereiteln jedoch oftmals das beabsichtigte Finanzierungsgeschaft. Solche Risiken sollen durch das UN-Abtretungsubereinkommen und das UNIDROIT-Factoringubereinkommen vermindert werden, indem einheitliche Rechtsvorschriften fur internationale Forderungsabtretungen zur Verfugung gestellt werden. Dadurch sollen internationale Forderungsabtretungen insgesamt erleichtert und gefordert werden. Claudia Rudolf unterzieht die Ubereinkommen einer kritischen Untersuchung und uberpruft, welches Ubereinkommen bezogen auf konkrete Sachfragen einen hoheren Grad an internationaler Rechtsvereinheitlichung erreicht und welches vor dem Hintergrund des jeweils verfolgten Zweckes (z.B. Schuldnerschutz) und unter Abwagung der Interessen der an einer Abtretung beteiligten Parteien eine sachgerechte Losung anbietet. Zudem behandelt sie die in den Grundregeln des Europaischen Vertragsrechts (PECL) und den UNIDROIT-Grundsatzen fur internationale Handelsvertrage enthaltenen Abtretungsvorschriften und vergleicht sie mit den Vorschriften des UN- und UNIDROIT-Ubereinkommens. According to some commentators, forum shopping is an “evil” that must be eradicated. It has been suggested that the unification of substantive law through international conventions constitutes one way to achieve this outcome. This book shows that the drafting of uniform substantive law convention cannot prevent forum shopping. The reasons are classified into two main categories: convention-extrinsic and convention-intrinsic reasons. The former category comprises those reasons upon which uniform substantive law conventions do not have an impact at all. These reasons range from the costs of access to justice to the bias of potential adjudicators to the enforceability of judgments. The convention-intrinsic reasons, on the other hand, are reasons that relate to the nature and design of uniform substantive law conventions, and include their limited substantive and international spheres of application as well as their limited scope of application, the need to provide for reservations, etc. This book also focuses on another reason why forum shopping cannot be overcome: the impossibility of ensuring uniform applications and interpretations of the various uniform substantive law conventions.

With the aim of creating an autonomous regime for the interpretation and application of the contract, boilerplate clauses are often inserted into international commercial contracts without negotiations or regard for their legal effects. The assumption that a sufficiently detailed and clear language will ensure that the legal effects of the contract will only be based on the contract, as opposed to the applicable law, was originally encouraged by English courts, and today most international contracts have these clauses, irrespective of the governing law. This collection of essays demonstrates that this assumption is not fully applicable under systems of civil law, because these systems are based on principles, such as good faith and loyalty, which contradict this approach.

Diese Arbeit untersucht zunächst die Rechtsnatur der Anwendungsnormen des CISG, mit dem Ergebnis, dass es sich um Internationales Privatrecht handelt. Dies führt zu der grundsätzlichen Frage nach der Bindung von Schiedsrichtern an IPR, in deren Prüfung völker- und europarechtliche sowie rechtspraktische Aspekte einbezogen werden. Eine Bindung wird abgelehnt. Schließlich wird ergänzend ein Blick auf die Bindungswirkung von materiellem Recht in Schiedsverfahren geworfen.
