L'étude de la notion de matière contractuelle en droit international privé vise à répondre à deux questions : qu'est-ce qu'un contrat en droit international privé et à quels aspects du contrat la"lex contractus" s'applique-t-elle? L'idée même d'une acception spécifique de la notion en "droit international privé" implique que celle-ci soit différente de celle retenue en droit interne. La notion est autonome. Cet aspect est justifié d'une part par la spécificité de la problématique du droit international privé, d'autre part par l'existence en la matière d'une Convention internationale, bientôt novée en Réglement communautaire, dont l'interprétation est désormais contrôlée par la Cour de justice des Communautés européennes. La notion est donc non seulement autonome, mais également fonctionnelle. Dans une première partie, l'étude des critères du contrat en droit international privé permet de cerner plus précisément la"famossima questio" qu'est la notion de contrat, dans une perspective autonome et fonctionnelle. La norme contractuelle ainsi définie est ainsi plus compréhensive et mieux adpatée que la définition classique. Dans une seconde partie, sont envisagées d'une part le domaine de la loi du contrat, d'autre part les méthodes de coordination de la norme contractuelle et des statuts environnants : "lex rei sitae, lex delicti", ou autre "lex contractus".

Economic sanctions are instruments of foreign policy. However, they can also affect legal relations between private parties – principally in contract. In such cases, the court or arbitration tribunal seized must decide whether to give effect to the economic sanction in question. Private international law functions as a 'filter', transmitting economic sanctions that originate in public law to the realm of private law. The aim of this book is to examine how private international law rules can influence the enforcement of economic sanctions and their related foreign policy objectives. A coherent EU foreign policy position – in addition to promoting legal certainty and predictability – would presuppose a uniform approach not only concerning the economic sanctions of the EU, but also with regard to the restrictive measures imposed by third countries. However, if we examine in detail the application of economic sanctions by Member States' courts and arbitral tribunals, we find a somewhat different picture. This book argues that this can be explained in part by the divergence of private international law approaches in the Member States.

This book centres on the ways in which the concept of imperativeness has found expression in private international law (PIL) and discusses “imperative norms”, and “imperativeness” as their intrinsic quality, examining the rules or principles that protect fundamental interests and/or the values of a state so as to require their application at any cost and without exceptions. Discussing imperative norms in PIL means referring to international public policy and overriding mandatory rules: in this book the origins, content, scope and effects of both these forms of imperativeness are analyzed in depth. This is a subject deserving further study, considering that very divergent opinions are still emerging within academia and case law regarding the differences between international public policy and overriding mandatory rules as well as with regard to their way of functioning. By using an approach mainly based on an analysis of the case law of the CJEU and of the courts of the various European countries, the book delves into the origin of imperativeness since Roman law, explains how imperative norms have evolved in the different conceptions of private international law, and clarifies the foundation of the differences between international public policy and overriding mandatory rules and how these concepts are used in EU Regulations on PIL (and in the practice related to these sources of law). Finally, the work discusses the influence of EU and public international law sources on the concept of imperativeness within the legal systems of European countries and whether a minimum content of imperativeness – mainly aimed at ensuring the protection of fundamental human rights in transnational relationships – between these countries has emerged. The book will prove an essential tool for academics with an interest in the analysis of these general concepts and practitioners having to deal with the functioning of imperative norms in litigation cases and in the drafting of international contracts.
