A busca por sanções ótimas, entendidas como aquelas penalidades com maior efeito dissuasório e menor impacto social negativo é a premissa central deste livro. Apesar da elevação das multas e da criação de estratégias mais efetivas de detecção e punição a infrações anticompetitivas, reconhece-se a necessidade de se pensar mecanismos de punição que aproximem as sanções de seu ponto ótimo, tanto sob as perspectivas específicas de underdeterrence e overdeterrencequanto pela perspectiva geral das sanções não pecuniárias. Realizou-se estudo exploratório para identificar hipóteses de sanções não pecuniárias nas searas anticorrupção, de licitações públicas, improbidade administrativa, mercado financeiro e de capitais, civil e comercial e antitruste. A partir do estudo comparativo, defende-se a capacidade de sanções não pecuniárias de direcionar as sanções para aqueles efetivamente responsáveis pelas infrações, deslocando o impacto da sanção das companhias para pessoas físicas, tornando mais efetivo o poder dissuasório da persecução e menores seus efeitos sociais negativos. Ademais, com isso busca-se evitar que que os indivíduos responsáveis assumam posições que os permitam reincidir nas práticas, e para isso foram analisados especificamente três tipos de sanções não pecuniárias com foco no indivíduo: alienação compulsória de controle, desconsideração da personalidade jurídica e responsabilização dos administradores e controladores.
