The theoretical basis of commercial law, corporate governance law, and corporate law is still unsatisfactory. There essentially is no theory of commercial law, and existing theories of corporate governance and corporate law cannot explain the behaviour of firms or the contents of existing regulation. This book proposes a coordinated solution for all three areas. The starting point is that all three areas deal with the organisation of firms. Commercial law, corporate governance, and corporate law are therefore studied from the perspective of the firm rather than that of the judge or the investor. Changing the perspective makes it easier to formulate an "umbrella" theory of commercial law, and theories of corporate governance and corporate law as applications of the main theory. The book provides examples of how the proposed theories work by studying legal corporate governance tools and practices that increase the sustainability of the firm. Sustainability can be bolstered by making the governance model more self-enforcing and ensuring that it fosters innovation.

The way in which industrial activities are organised among firms is a fundamental theoretical concern. In practice, firms have found these matters, referred to as make-or-buy issues, difficult to analyse. Organising Industrial Activities Across Firm Boundaries succeeds in combining an analysis of the theoretical background to such issues with an in-depth case study of the practical consequences and implications. The book is an important contribution to the literature on networks, business relationships, out-sourcing and the division of labour.

In recent years there has been a growth in work on the organization of the firm. The same period has also seen a corresponding rise in literature dealing with the organization of the multinational firm, but the two literatures have developed quite separately, even though insights from each have much to offer the other. This unique collection of essays from respected academics aims to bridge this gap, addressing questions of the theory of the firm and international business. The material is presented in three sections: * The first section deals with theoretical issues underpinning multinational enterprise. These are the issues of information, re-engineering and change management and international trade. * The second section concentrates on the inter-firm relationships of multinationals, assessing the interplay of co-operation and adversarial behaviour. * The third section deals with applications of the principles presented in the first two sections. The applications concern the defence equipment industry, the world automobile industry and corporate governance under European Union Regulations. The Organisation of the Firm is aimed at researchers and students in the field of international business, and is likely to appeal to advanced undergraduates and postgraduates, as well as academics.

Dynamic Capabilities Between Firm Organisation And Local Systems Of Production written by Riccardo Leoncini and has been published by Routledge this book supported file pdf, txt, epub, kindle and other format this book has been release on 2007-12-21 with Business & Economics categories.

Changes in technology and demand require firms to learn how to continuously reshape unique and non-imitable resources and competences. A firm’s capacity to achieve this is captured by the concept of dynamic capabilities. This book offers an analysis of how firms manage to reconfigure their pool of idiosyncratic resources, skills and competencies to deal with the highly turbulent environments in which they are embedded, thus tackling the issue of how dynamic capabilities must be defined and conceptualized. This book brings together several contributions aimed at showing how firms’ differential exploitation of their dynamic capabilities comes to be highly dependent on the role of socio-territorial entities and on the institutional set up. Thus, different formal and informal types of organization are observed at different levels of analysis. In so doing, the book aims at conveying a transversal perspective to the analysis of firms’ dynamics, calling for a multidisciplinary and multilayer approach.

The Social Contract Of The Firm written by Lorenzo Sacconi and has been published by Springer Science & Business Media this book supported file pdf, txt, epub, kindle and other format this book has been release on 2012-12-06 with Business & Economics categories.

In order to survive as a social institution a firm needs a constitutional social contract, even though implicit, among its stakeholders. This social contract must exist if an institution is to be justified. The book focuses on two main issues: To find out the terms of the hypothetical agreement among the firm's stakeholders in an ex ante perspective and to understand the endogenous mechanism generating appropriate incentives that induce to comply with the social contract itself, as seen in the ex post perspective.

Multinational Business Service Firms written by Joanne Roberts and has been published by Routledge this book supported file pdf, txt, epub, kindle and other format this book has been release on 2018-10-26 with Business & Economics categories.

First published in 1998, this influential volume entered the debate on Foreign Direct Investment in the UK and focuses on the role of Multinational Enterprises (MNEs) in the service rather than manufacturing and primary sectors. While the significance of the service industry had been recognised (exceeding 60% of total GDP in some countries at the time of original publication), the role of FDIs has not. Joanne Roberts thus contributed to a woefully under researched field, covering areas including international trade, the organisational theory of the firm and the UK business sector.

Organizing Entrepreneurial Judgment written by Nicolai J. Foss and has been published by Cambridge University Press this book supported file pdf, txt, epub, kindle and other format this book has been release on 2012-03-01 with Business & Economics categories.

Entrepreneurship, long neglected by economists and management scholars, has made a dramatic comeback in the last two decades, not only among academic economists and management scholars, but also among policymakers, educators and practitioners. Likewise, the economic theory of the firm, building on Ronald Coase's (1937) seminal analysis, has become an increasingly important field in economics and management. Despite this resurgence, there is still little connection between the entrepreneurship literature and the literature on the firm, both in academia and in management practice. This book fills this gap by proposing and developing an entrepreneurial theory of the firm that focuses on the connections between entrepreneurship and management. Drawing on insights from Austrian economics, it describes entrepreneurship as judgmental decision made under uncertainty, showing how judgment is the driving force of the market economy and the key to understanding firm performance and organization.
