Lo studio esamina le caratteristiche e le dinamiche proprie delle relazioni contrattuali Platform-to-Business, comprese nell’alveo della più ampia categoria dei rapporti asimmetrici tra imprese. Muovendo dall’analisi della più recente legislazione europea in materia, si indagano i comportamenti abusivi più comunemente posti in essere dalle piattaforme digitali nell’esercizio dei loro poteri privati, per poi giungere a valutare l’adeguatezza degli strumenti di tutela degli utenti commerciali sotto la lente del diritto privato regolatorio e del diritto della concorrenza. La posizione di forza di cui godono le piattaforme del commercio elettronico, in particolar modo i gatekeeper, nei confronti delle imprese che si avvalgono dei loro servizi di intermediazione è in effetti all’origine di incertezze e rischi che minano il corretto funzionamento del mercato. Pur di fronte alle difficoltà poste da un fenomeno in sé transnazionale, i legislatori e gli interpreti sono chiamati, adottando un approccio quanto più possibile uniforme, specie nella dimensione comunitaria, a comprendere i fenomeni tipici dell’economia delle piattaforme e a individuare soluzioni concrete, efficaci e tempestive. Questa ricostruzione, per i contenuti proposti e la metodologia adottata, intende pertanto costituire un contributo alla definizione di un quadro compiuto della disciplina privilegiando la prospettiva del diritto dei contratti, che offre preziosi spunti di riflessione di fronte all’integrazione e all’interazione tra la normativa statale, di cui si esalta il dato comparatistico, e quella di derivazione europea. Work is constantly reshaped by technological progress. New ways of production are adopted, markets expand, and societies evolve. But some changes provoke more attention than others, in part due to the vast uncertainty involved in making predictions about the future. The 2019 World Development Report will study how the nature of work is changing as a result of advances in technology today. Technological progress disrupts existing systems. A new social contract is needed to smooth the transition and guard against rising inequality. Significant investments in human capital throughout a person’s lifecycle are vital to this effort. If workers are to stay competitive against machines they need to train or retool existing skills. A social protection system that includes a minimum basic level of protection for workers and citizens can complement new forms of employment. Improved private sector policies to encourage startup activity and competition can help countries compete in the digital age. Governments also need to ensure that firms pay their fair share of taxes, in part to fund this new social contract. The 2019 World Development Report presents an analysis of these issues based upon the available evidence.
