Inhaltsangabe:Einleitung: Die Weltwirtschaft ist zur Zeit von einem intensiven Wettbewerb geprägt. Die Unternehmen sind gezwungen, auf breiter Front Rationalisierungs- und Optimierungsmaßnahmen durchzuführen, sie stellen ihre gesamten Prozesse, Technologien, Investitionen und Organisationsstrukturen auf den Prüfstand. Für diesen Wettbewerb lassen sich mehrere Auslöser identifizieren. Zunächst kann festgestellt werden, dass der seit vielen Jahren anhaltende Globalisierungstrend zu einem verstärkten Wettbewerb geführt hat. Vor allem regional und national agierende Unternehmen verspüren zunehmend den Druck der Globalisierung. In Anlehnung an das Five Forces Konzept von PORTER stehen Unternehmen dabei nicht nur im Kampf mit der bereits bestehenden Konkurrenz, sondern sie werden auch durch neue Konkurrenten und Ersatzprodukte bedroht. Zudem sehen sie sich mit einer ansteigenden Verhandlungsmacht von Kunden und Lieferanten konfrontiert. Diese [...] Triebkräfte des Branchenwettbewerbs werden durch die Globalisierung noch zusätzlich verstärkt. Als weiteren Grund für die zunehmende Wettbewerbsintensität sind die aktuellen Krisen in den verschiedensten Sparten unserer Wirtschaft zu nennen. Der Vertrauensverlust in unser Finanzsystem hat dabei eine wahre Kettenreaktion ausgelöst, die sich auch immer stärker auf die Realwirtschaft überträgt. Der deutsche Aktienindex DAX 30 hat die volle Wucht der Finanzkrise sichtbar ab Anfang 2008 zu spüren bekommen, seitdem hat sich der Wert des Index nahezu halbiert. Ein ganz ähnliches Bild ergibt sich bei der Betrachtung des MDAX 50 auch er musste die Hälfte seines Wertes einbüßen. Den Aktiengesellschaften entstehen dadurch zwei Probleme: zum einen schränkt der Wertverlust der eigenen Aktien die strategischen Möglichkeiten einer Aktiengesellschaft stark ein. So können die eigenen Aktien beispielsweise nur noch begrenzt als Akquisitionswährung eingesetzt werden oder bei einer Kapitalerhöhung frisches Geld in die Unternehmenskasse spülen . Der Unternehmung können also einige Vorteile entgehen, die zur zukünftigen Wettbewerbsfähigkeit beitragen würden. Zum anderen wächst mit einem rapide sinkenden Aktienkurs die Gefahr einer feindlichen Übernahme durch Konkurrenten oder Investoren jeglicher Couleur. Dass feindliche Übernahmen ein durchaus akutes Problem sind, zeigt der aktuelle Fall der Übernahme von Continental durch die Schaeffler Group oder auch die Paradeübernahme von Mannesmann durch den Vodafone Konzern Anfang [...]
