Inhaltsangabe: Einleitung: Es gibt viele Motive eine Unternehmensbewertung durchzufuhren, sei es nun aufgrund von Fusionen, Ubernahmen oder eines Initial Public Offering (IPO). Die Bewertung des Unternehmens ist jedoch kein Vorgang, welcher lediglich bei einem vollstandigen oder teilweisen Eigentumerwechsel vorkommt. Vielmehr ist sie ein wichtiges Instrument zur Messung unternehmerischen Handelns und gewinnt als Beurteilungsmassstab im Zuge einer verstarkten Ausrichtung der Unternehmenspolitik im Sinne des Shareholder Value zusehends an Bedeutung. Zum Zweck der Unternehmensbewertung wurde in der Vergangenheit eine Vielzahl von Verfahren entwickelt. Als haufigstes Bewertungsverfahren hat sich seit den neunziger Jahren die Discounted Cash Flow (DCF)-Methode etabliert. In der Praxis kann beobachtet werden, dass oft erhebliche Unterschiede zwischen dem bezahlten Preis bei Unternehmenstransaktionen bzw. dem Borsenwert und dem durch die DCF-Methode berechneten Unternehmenswert (UW) bestehen. Diese Wertunterschiede erscheinen oft als fantasievolle Spekulationsblasen. Bei genauerer Analyse hingegen zeigt sich, dass bei der DCF-Methode der Umgang mit Risiko nur unzureichend berucksichtigt wird, da ein hoheres Risiko immer einen tieferen UW zur Folge hat. Dabei stellt sich die Frage, ob mit hoheren Risiken nicht auch Chancen verbunden sind, die in Zukunft zu einem hoheren Wert fuhren konnen. Die Grundlage fur die Unternehmensbewertung nach der DCF-Methode bilden Businessplane, welche zum Zeitpunkt der Bewertung erstellt werden. Mithilfe der zu dieser Zeit vorhandenen Plandaten und Informationen werden unwiderrufliche Unternehmensentscheide gefallt. Diese Vorgehensweise impliziert ein passives Unternehmensmanagement, was auf das Management moderner Unternehmen nicht zutrifft. Es wird dabei nicht berucksichtigt, dass das Unternehmen in Zukunft uber umfangreichere Informationen verfugen wird und die Businessplane anpassen kann. This history of three powerful family firms located in different European countries takes place over a period of more than two hundred years. The interplay and the changing social and legal arrangements of the families shaped the development of a European capitalism quite different from the Anglo-American variety. Qualifying claims by Alfred Chandler and David Landes that family firms tend to be dysfunctional, Harold James shows how and why these steel and engineering firms were successful over long periods of time. Indeed, he sees the family enterprise as particularly conducive to managing risk during periods of upheaval and uncertainty when both states and markets are disturbed. He also identifies the key roles played by women executives during such times. In "Family Capitalism," James tells how "iron masters" of a classical industrial cast were succeeded by new generations who wanted to shift to information-age systems technologies, and how families and firms wrestled with social and economic changes that occasionally tore them apart. Finally, the author shows how the trajectories of the firms were influenced by political, military, economic, and social events and how these firms illuminate a European model of "relationship capitalism."
