Ziel ist es, die rechtlichen Eigenarten der deutschen Gesellschaften mit denen englischer Rechtsformen, insbesondere mit der Limited, vergleichend gegenüberzustellen. Schwerpunktmäßig wird dafür auf die Merkmale Gründung, Kapitalverfassung sowie Haftung und Organisation eingegangen. Einführend wird das MoMiG betrachtet, um einen Überblick über die aktuellen rechtlichen Gegebenheiten der GmbH zu erhalten. Hier wird namentlich auf die mit dem MoMiG einhergehenden Gründungserleichterungen und die Veränderungen beim Verwaltungssitz sowie bei der Geschäftsanschrift eingegangen. Darüber hinaus erfolgt eine Begutachtung der Kapitalaufbringung und Kapitalerhaltung nach dem neuen GmbH-Recht. Abschließend werden die Veränderungen hinsichtlich der Insolvenz und der Insolvenzantragsplicht in Augenschein genommen. Im Rahmen der Ausarbeitung zur Unternehmergesellschaft (haftungsbeschränkt) werden die wichtigsten Eigenschaften dieser Rechtsform erläutert. Einleitend wird insoweit auf die Gründung einer Unternehmergesellschaft (haftungsbeschränkt) eingegangen und die Besonderheiten beim Stammkapital dargestellt. Weitere Charakteristika dieser Gesellschaftsform sind eine besondere Firmenbezeichnung sowie eine gesetzliche Thesaurierungspflicht. Im Anschluss daran beschäftigt sich die Ausarbeitung mit der englischen private limited company by shares. Diese Rechtsform gilt als die beliebteste ausländische Rechtsform in Deutschland, obwohl sie grundsätzlich nach englischem Recht zu führen ist. Jedoch ist, speziell bei Gründung einer Limited mit Verwaltungssitz in Deutschland, auch deutsches Recht anzuwenden. Die Arbeit gibt einen Überblick über die rechtlichen Gegebenheiten bei Gründung einer Limited in Deutschland. Abschließend erfolgt die eigentliche Gegenüberstellung der GmbH, UG und Limited. Die Arbeit bespricht detailliert Fragen zur Gründung, Kapitalverfassung sowie zur Haftung und Organisation der einzelnen Rechtsformen. Dabei werden einleitend jeweils die Eigenschaften der GmbH betrachtet und etwaige Besonderheiten bei der UG (haftungsbeschränkt) erläutert. Anschließend werden die Eigenarten für eine in Deutschland tätige Limited beschrieben.

After the collapse of the European Commission's plans to codify European contract law it is timely to reflect on what has been achieved over the past three to four decades, and for an assessment of the current situation. The present book adopts a broad perspective and an integrative approach. All relevant reference texts (from the CISG to the Draft Common European Sales Law) are critically examined and compared with each other.
